Mipsa Agreement

The MIPSA website is offered to you with the conviction that you accept the terms and indications contained here without modification. Your use of the MIPSA website is your consent to all these conditions and indications. MIPSA reserves the right, at its sole discretion, to terminate access to the MIPSA website and mipsa-associated services or services at any time and without notice. To the extent permitted by law, this agreement is governed by the laws of washington State, United States, and you hereafter accept the exclusive jurisdiction and jurisdiction of San Mateo County, California, United States, in all disputes arising from or related to the use of the mipsa website. The use of the MIPSA website is not permitted in a jurisdiction that does not implement all the provisions of these Terms and Conditions, including and without limitation of this paragraph. You agree that under this agreement or the use of the MIPSA website, there is no joint venture, partnership, employment or agency between you and MIPSA. The performance of this contract by MIPSA is subject to applicable laws and legal procedures, and none of what is included in this Agreement is consistent with MIPSA law, requests from authorities, judicial and law enforcement authorities, or requirements for your use of the mipsa website or the information provided or collected by MIPSA regarding its use. If part of this agreement is invalidated or unenforceable under existing legislation, including, but not limited to the warranty exclusions and limitations of liability mentioned above, the invalid or unenforceable provision is replaced by a valid and enforceable provision, which is most consistent with the purpose of the original provision, and the rest of the agreement remains in force. Unless otherwise stated, this contract represents the entire agreement between the user and MIPSA with respect to the mipsa website and replaces any prior or simultaneous communications and suggestions, whether electronic, oral or written, between the user and MIPSA with respect to the MIPSA website.

A printed version of this agreement and any electronic notification is permitted in the context of a judicial or administrative proceeding based on or relating to this agreement, as long as it is subject to the same conditions as other commercial documents and records originally established and kept on paper. The parties expressly wish that this agreement and all related documents be written in English. The 5.86 MWp fixed photovoltaic facility project is located on approximately 26 hectares of private land at the former Shirley Airport, 80 miles northwest of Boston, Massachusetts. The electricity generated is delivered to the city of Billerica, Massachusetts, under a long-term power purchase agreement, in accordance with the state`s virtual Net Metering Credits Program. EDF Renewables will develop, own and operate the solar project, with commercial development expected in spring 2014. Security agreements guaranteeing “all payment and buyer delivery obligations that now or later exist under MIPSA” do not contain a forum selection clause, although they explicitly refer to MIPSA and the guarantee agreement. The mipsa website consists of various websites managed by MIPSA. MIPSA reserves the right to disclose at any time all the information necessary to comply with applicable legislation, rules, court proceedings or administrative requests, or to process, refuse or withdraw, in whole or in part, information or materials, at miPSA`s sole discretion.
